The Robotics Engineer shall be responsible for the end-to-end delivery of the automation project, including mechanical design, embedded systems programming, sensor integration, and commissioning of the robotic assembly units.

All services under this Purchase Order shall be performed at the buyer's manufacturing facility situated at Plot 14, Kampala Road, Industrial Area, Uganda Kampala. The Robotics Engineer is expected to be physically present on-site in Kampala for a minimum of five (5) working days per week throughout the project duration. The total project timeline is twelve (12) calendar weeks commencing from 1 July 2025 and concluding on 28 September 2025, subject to mutual agreement for any necessary extensions.

• Advance Payment (30%): UGX 15,585,000 shall be paid within seven (7) working days of the signing of this Purchase Order, via bank transfer to the supplier's designated account at Stanbic Bank Uganda, Kampala branch.
• Milestone Payment 1 (25%): UGX 12,987,500 shall be due upon successful completion and sign-off of the system design and architecture phase, as certified by the buyer's project manager in Kampala.
• Milestone Payment 2 (25%): UGX 12,987,500 shall be due upon completion of embedded systems programming, sensor integration, and successful factory acceptance testing (FAT) at the Kampala facility.
• Final Payment (20%): UGX 10,390,000 shall be due upon final commissioning, operator training completion, and delivery of the full technical documentation package in Uganda Kampala.

• The Robotics Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering, Electrical Engineering, or a related field, with at least eight (8) years of demonstrated experience in industrial robotics and automation systems.
• The Robotics Engineer shall comply with all applicable laws and regulations of the Republic of Uganda, including but not limited to the Uganda Industrial Safety and Health Act, 2019, and the Uganda Standards Bureau requirements for automated machinery.
• All intellectual property developed specifically for the buyer under this Purchase Order shall vest in East African Automation & Robotics Solutions Ltd. upon full payment. The Robotics Engineer retains ownership of pre-existing tools, methodologies, and proprietary code libraries.
• The supplier shall provide the Robotics Engineer with appropriate personal protective equipment (PPE) and ensure adherence to all site safety protocols at the Kampala facility.
• Any variation to the scope of work must be documented in a written amendment to this Purchase Order, signed by both parties, before additional work commences.
• In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through mediation in Kampala, Uganda. Should mediation fail, the matter shall be referred to arbitration under the rules of the Uganda Arbitration Centre, Kampala.
• This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Uganda.
• The Robotics Engineer shall maintain professional indemnity insurance with a minimum cover of UGX 100,000,000 for the duration of the engagement in Uganda Kampala.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Robotics Engineer in Uganda Kampala.
