This Purchase Order is issued by Al Noor Advanced Technologies FZE (hereinafter referred to as the "Buyer") to Emirates Robotics Solutions LLC (hereinafter referred to as the "Supplier") for the procurement of professional engineering services. Specifically, this Purchase Order covers the recruitment, placement, and ongoing professional engagement of a qualified Robotics Engineer to support the Buyer's autonomous systems development programme located in United Arab Emirates Abu Dhabi. The Robotics Engineer shall be responsible for the design, prototyping, testing, and deployment of industrial and service robotics solutions in accordance with the project specifications outlined in Annex A of this Purchase Order.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Decree-Law No. 33 of 2021 on the Private Sector Labour Law and the applicable regulations of the Abu Dhabi Department of Economic Development.
- Scope of Work: The Robotics Engineer engaged under this Purchase Order shall report directly to the Buyer's Chief Technology Officer and shall perform all duties in accordance with the project charter for the Abu Dhabi Autonomous Logistics Initiative. The Robotics Engineer shall be physically present at the Buyer's facility in United Arab Emirates Abu Dhabi for a minimum of five (5) working days per week.
- Payment Terms: Payment shall be made within thirty (30) days from the date of receipt of a valid tax invoice from the Supplier. The initial recruitment fee (Line Item 1) shall be payable upon successful onboarding of the Robotics Engineer. Monthly service fees (Line Item 2) shall be invoiced on the first business day of each month for the preceding month's services.
- Compliance: The Supplier warrants that the Robotics Engineer shall hold all necessary qualifications, professional certifications, and valid work permits for employment in United Arab Emirates Abu Dhabi. The Supplier shall ensure full compliance with UAE immigration, labour, and professional licensing requirements throughout the engagement period.
- Confidentiality: The Robotics Engineer shall be bound by a non-disclosure agreement (NDA) covering all proprietary technology, trade secrets, and project data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall facilitate the orderly transition of the Robotics Engineer's responsibilities and deliver all project documentation to the Buyer.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi, United Arab Emirates, in accordance with the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in United Arab Emirates Abu Dhabi.
This Purchase Order becomes effective upon written acceptance by the Supplier. By signing below, the Supplier acknowledges and agrees to all terms, conditions, and specifications set forth in this Purchase Order for the provision of Robotics Engineer services in United Arab Emirates Abu Dhabi.
