This Purchase Order is issued by Texas Advanced Automation Systems, Inc. to formally engage the services of a qualified Robotics Engineer to be deployed at our primary operational facility located in United States Houston, Texas. The Robotics Engineer shall provide specialized technical expertise in the design, development, integration, and maintenance of industrial robotic systems, autonomous mobile platforms, and advanced mechatronic assemblies. All services rendered under this Purchase Order shall be performed in compliance with applicable federal, state, and local regulations governing engineering practice within the State of Texas and the broader United States Houston metropolitan area.

The Robotics Engineer engaged under this Purchase Order shall report directly to the Chief Technology Officer of Texas Advanced Automation Systems, Inc. and shall be physically present at the United States Houston facility a minimum of five (5) days per week. The scope of work includes but is not limited to: (a) conceptual design and detailed engineering of robotic manipulators; (b) selection and integration of actuators, sensors, and control hardware; (c) development of embedded control software using C++, Python, and ROS 2 frameworks; (d) commissioning and field testing of robotic systems within the United States Houston production environment; (e) preparation of as-built drawings, test protocols, and user manuals; and (f) training of in-house maintenance staff on robotic system operation and diagnostics.
3. Terms and Conditions3.1 This Purchase Order constitutes a binding agreement between the parties upon signature. All work shall be performed in United States Houston, Texas, unless otherwise authorized in writing by the Buyer.
3.2 The Robotics Engineer shall maintain all professional engineering licenses, certifications, and insurance coverage required by the State of Texas and applicable federal standards throughout the duration of this Purchase Order.
3.3 Invoices shall be submitted monthly and must reference this Purchase Order number (PO-2025-HOU-RE-0047). Payment shall be made within thirty (30) days of receipt of a valid invoice.
3.4 All intellectual property, designs, code, and documentation created under this Purchase Order shall be the sole property of Texas Advanced Automation Systems, Inc. upon full payment.
3.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Seller shall be compensated for all services rendered through the termination date.
3.6 The Robotics Engineer shall comply with all OSHA safety regulations, Texas state labor laws, and any local ordinances applicable to the United States Houston work site.
3.7 Disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
4. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Robotics Engineer at the United States Houston facility.
