- Scope of Work: This Purchase Order authorizes the Supplier to provide the services of a qualified Robotics Engineer as described in Section 3. All services shall be rendered in Miami, United States, at the Buyer's designated facility unless otherwise agreed in writing. The Robotics Engineer shall adhere to all project specifications, timelines, and quality standards established by the Buyer.
- Commencement and Duration: Services shall commence on August 1, 2025, and continue through July 31, 2026, unless terminated earlier in accordance with this Purchase Order. The Robotics Engineer shall be available on-site a minimum of forty (40) hours per week during standard business hours (Monday through Friday, 8:00 AM to 5:00 PM Eastern Time).
- Payment Schedule: Invoices shall be submitted monthly by the Supplier. Payment is due within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month. All payments shall be made in United States Dollars via wire transfer to the account designated by the Supplier.
- Intellectual Property: All work product, designs, code, documentation, and inventions created by the Robotics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Buyer. The Robotics Engineer hereby assigns all rights, title, and interest in such work product to the Buyer upon creation.
- Confidentiality: The Robotics Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance with Laws: The Supplier and the Robotics Engineer shall comply with all applicable federal, state, and local laws and regulations of the United States, the State of Florida, and Miami-Dade County. This includes but is not limited to employment laws, immigration regulations, occupational safety standards, and environmental regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered through the effective date of termination.
- Insurance: The Supplier shall maintain, at its own expense, comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence, professional liability (errors and omissions) insurance of $1,000,000, and workers' compensation insurance as required by the State of Florida. Certificates of insurance shall be provided to the Buyer prior to commencement of services.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Miami, Florida, United States.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of God, government actions, or pandemics affecting the Miami, United States region.
- Entire Agreement: This Purchase Order, together with any attached exhibits and specifications, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements.
