  1. This Purchase Order is governed by the commercial laws of the State of New York and the federal laws of the United States. All disputes arising from this Purchase Order shall be resolved in the courts of United States New York City.
  2. The Robotics Engineer engaged under this Purchase Order shall comply with all applicable federal, state, and municipal regulations in force in United States New York City, including but not limited to OSHA standards, NYC Local Law 97 (energy efficiency), and applicable labor statutes.
  3. The Robotics Engineer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of this Purchase Order.
  4. All intellectual property, designs, code, and documentation produced by the Robotics Engineer in the course of fulfilling this Purchase Order shall be the sole property of Meridian Advanced Automation Systems, Inc.
  5. The Robotics Engineer shall report to the United States New York City facility on a standard schedule of Monday through Friday, 8:00 AM to 5:00 PM Eastern Time, unless otherwise agreed in writing.
  6. Payment shall be processed via ACH transfer to the account designated by Apex Technical Talent Solutions LLC. Invoices must reference this Purchase Order number (PO-2025-NYC-RE-0047) for processing.
  7. Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the Robotics Engineer shall complete all in-progress deliverables and submit a final transition report.
  8. This Purchase Order is subject to the Master Service Agreement (MSA-2024-0091) executed between both parties on March 3, 2024, which is incorporated herein by reference.
