This Purchase Order is issued by Central Asia Industrial Automation LLC to formally procure the professional services of a qualified Robotics Engineer for deployment at our manufacturing facility located in Uzbekistan Tashkent. The Robotics Engineer shall be responsible for the design, implementation, programming, and maintenance of industrial robotic systems across our production lines. The engagement is structured to support the ongoing modernization of our automated assembly processes in Uzbekistan Tashkent, ensuring compliance with both international engineering standards and the regulatory framework of the Republic of Uzbekistan.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor for the provision of Robotics Engineer services at the designated facility in Uzbekistan Tashkent. All terms herein shall be governed by the commercial laws of the Republic of Uzbekistan and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
2. The Robotics Engineer shall possess a minimum of eight (8) years of professional experience in industrial robotics, with demonstrated expertise in KUKA, FANUC, and ABB robotic platforms. A valid professional engineering license recognized in Uzbekistan shall be required prior to commencing work in Uzbekistan Tashkent.
3. The Vendor shall ensure that the Robotics Engineer obtains all necessary work permits, visas, and local registrations required by the Ministry of Labor and Employment of Uzbekistan before arriving in Uzbekistan Tashkent. All associated immigration costs shall be borne by the Vendor as reflected in Line Item 06 of this Purchase Order.
4. Payment terms: 30% advance payment upon acceptance of this Purchase Order, 40% upon successful commissioning of the first robotic production line in Uzbekistan Tashkent, and 30% upon final acceptance and completion of all deliverables. Payments shall be made via international wire transfer to the Vendor's designated bank account within fifteen (15) business days of invoice receipt.
5. The Robotics Engineer shall adhere to all health, safety, and environmental regulations applicable to industrial operations in Uzbekistan Tashkent, including but not limited to the standards set forth by the State Committee for Technical Supervision of Uzbekistan.
6. Intellectual property developed specifically for the Buyer during the course of this Purchase Order engagement in Uzbekistan Tashkent shall be the sole property of Central Asia Industrial Automation LLC. The Robotics Engineer shall execute all necessary IP assignment documents upon commencement of work.
7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Vendor shall be compensated for all services rendered up to the termination date, as documented by the Robotics Engineer's weekly progress reports submitted to the Buyer's project manager in Uzbekistan Tashkent.
8. All disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the International Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan. The language of arbitration shall be English.
9. The Vendor warrants that the Robotics Engineer assigned under this Purchase Order shall not be subject to any conflict of interest and shall maintain full professional confidentiality regarding all proprietary processes, designs, and operational data encountered at the Uzbekistan Tashkent facility.
10. This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of commencement, unless extended by mutual written agreement of both parties. Any amendments to this Purchase Order must be documented in a formal addendum signed by authorized representatives of both parties.
