- Scope and Location: All services described in this Purchase Order shall be performed and delivered within the Chile Santiago metropolitan area. The Sales Executive shall be based at the Andes Pacific Commercial Group SpA office located in Las Condes, Chile Santiago, and shall conduct field activities across the greater Santiago region, including the communes of Providencia, Vitacura, Ñuñoa, and Maipú.
- Commencement Date: The Sales Executive shall commence active duties no later than August 1, 2025. The vendor is responsible for ensuring all Chilean labor registration and tax compliance formalities are completed prior to this date.
- Payment Terms: Payment shall be made in two installments. The first installment of 50% (CLP 1,737,400) is due within fifteen (15) business days of the Sales Executive's confirmed start date. The second installment of 50% (CLP 1,737,400) is due upon successful completion of the ninety (90) day probationary period. All payments shall be made via bank transfer to the vendor's account in Chile Santiago.
- Compliance: The vendor warrants that the Sales Executive shall be fully compliant with all applicable Chilean labor legislation, including the Código del Trabajo (Labor Code), and that all social security contributions, income tax withholdings (impuesto único de renta), and professional registration requirements specific to the Chile Santiago jurisdiction shall be met.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the compensation structure of the Sales Executive, and any proprietary sales data or client information encountered during the engagement in Chile Santiago.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination after the Sales Executive has commenced duties, the purchasing entity shall be liable for a pro-rata portion of the placement fee corresponding to the remaining contract period.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Chile. Any disputes arising from this document shall be resolved in the competent courts of Chile Santiago.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Chile Santiago region.
