1. - Commencement Date: The Sales Executive shall commence duties at the China Guangzhou office no later than 1 August 2025. The vendor shall ensure all onboarding procedures, including work permit acquisition and local household registration (hukou) coordination, are completed prior to this date.
- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 50% upon confirmed commencement of the Sales Executive's role in China Guangzhou, and the remaining 20% upon successful completion of the first quarterly performance review.
- Currency and Banking: All payments under this Purchase Order shall be denominated in Chinese Yuan (CNY) and remitted via wire transfer to the vendor's designated account at China Merchants Bank, Guangzhou Branch. The vendor shall provide a valid tax invoice (fapiao) for each payment tranche.
- Performance Obligations: The Sales Executive shall be responsible for achieving a minimum annual revenue target of CNY 12,000,000 within the China Guangzhou and surrounding Guangdong province territory. Failure to meet 70% of the target in any two consecutive quarters shall trigger a formal review under this Purchase Order.
- Compliance: The vendor warrants that the Sales Executive shall comply with all applicable Chinese labor laws, the Foreign Investment Law of the People's Republic of China, and all local regulations governing employment in the Guangzhou municipality. The vendor assumes full liability for any non-compliance arising from the placement.
- Confidentiality: The Sales Executive shall be bound by a non-disclosure agreement covering all proprietary information, client databases, pricing structures, and strategic plans of Pacific Rim Trading Group Ltd. as they pertain to the China Guangzhou market operations.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the vendor shall facilitate a smooth transition of the Sales Executive's responsibilities and client portfolio to a successor or to the internal China Guangzhou team.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
The vendor shall deliver the Sales Executive to the China Guangzhou office at the following address: 12th Floor, International Commerce Center, Zhujiang New Town, Tianhe District, Guangzhou, Guangdong Province, China. Acceptance of the Sales Executive's placement shall be confirmed in writing by the Regional Director within five (5) business days of the commencement date. The Purchase Order shall be deemed fully executed upon written acceptance.
