This Purchase Order is issued by Pacific Meridian International Trading Co., Ltd. (hereinafter referred to as the "Buyer") to Elite Talent Solutions (Shanghai) Co., Ltd. (hereinafter referred to as the "Vendor") for the recruitment, placement, and ongoing provision of a qualified Sales Executive to operate within the Buyer's China Shanghai headquarters. The Sales Executive shall be responsible for driving revenue growth, managing key client relationships across the East China region, and executing the annual sales strategy as directed by the Regional Director based in China Shanghai.

The Sales Executive procured under this Purchase Order shall perform the following duties within the China Shanghai operational framework:

• Develop and execute a comprehensive sales pipeline targeting manufacturing, logistics, and technology sectors in the China Shanghai metropolitan area and surrounding provinces.
• Manage a portfolio of no fewer than 40 active corporate accounts, ensuring quarterly revenue targets of CNY 2.5 million are met or exceeded.
• Represent the Buyer at industry trade exhibitions, including but not limited to the China International Import Expo (CIIE) held annually in China Shanghai.
• Coordinate with the regional marketing team to produce localized sales collateral compliant with Chinese advertising regulations.
• Submit weekly activity reports and monthly revenue forecasts to the Regional Director via the Buyer's CRM platform.
• Maintain full compliance with the PRC Labor Contract Law, the Foreign Employment Regulations applicable in China Shanghai, and all internal corporate governance policies.

1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Vendor within five (5) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
2. Payment Schedule: The Buyer shall remit 30% of the total Purchase Order value (CNY 91,500.00) upon contract execution, 50% (CNY 152,500.00) upon confirmed commencement of the Sales Executive's duties in China Shanghai, and the remaining 20% (CNY 61,000.00) upon successful completion of the 90-day probationary period.
3. Payment Method: All payments shall be made via bank transfer to the Vendor's designated corporate account in China Shanghai. Wire transfer details are appended in Schedule A of the master service agreement.
4. Compliance: The Vendor warrants that the Sales Executive shall hold all necessary work permits, residence visas, and social insurance registrations required to legally perform employment duties in China Shanghai. The Vendor assumes full liability for any regulatory non-compliance.
5. Confidentiality: The Sales Executive shall be bound by a non-disclosure agreement covering all proprietary information, client data, pricing structures, and strategic plans of the Buyer. Breach of confidentiality shall result in immediate termination and liquidated damages of CNY 500,000.00.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Vendor, the Buyer may terminate immediately and recover all prepaid amounts not yet rendered as services.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising hereunder shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or changes in PRC trade policy.
