1. Scope of Work: The Sales Executive procured under this Purchase Order shall be physically based in DR Congo Kinshasa and shall report directly to the Regional Sales Director. The Sales Executive's primary responsibilities include identifying new business opportunities, maintaining a pipeline of qualified leads, closing sales contracts, and representing the company at trade exhibitions held in Kinshasa and neighboring regions.
2. Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Service Provider. Payments exceeding USD 5,000.00 shall be processed via bank transfer to the vendor's account at a licensed financial institution in DR Congo Kinshasa. All transactions are subject to applicable withholding tax as prescribed by the Direction Générale des Impôts.
3. Performance Standards: The Sales Executive shall meet quarterly revenue targets as defined in the individual performance annex attached to this Purchase Order. Failure to meet 70% of the target for two consecutive quarters shall trigger a formal review and potential reassignment or termination of the Sales Executive's engagement.
4. Compliance: All services rendered under this Purchase Order shall comply with the labor laws of the Democratic Republic of the Congo, the commercial code of DR Congo Kinshasa, and all applicable tax regulations. The Service Provider warrants that the Sales Executive shall hold all necessary work permits and residency documentation valid for the duration of the contract.
5. Confidentiality: The Sales Executive shall be bound by a non-disclosure agreement covering all proprietary information, client databases, pricing structures, and strategic plans of the Purchasing Entity. This obligation shall survive the termination of the Sales Executive's engagement for a period of three (3) years.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Service Provider shall facilitate the orderly transition of the Sales Executive's client portfolio and ensure all DR Congo Kinshasa statutory end-of-service obligations are fulfilled.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court in Kinshasa, DR Congo, or to arbitration under the rules of the Centre d'Arbitrage de Kinshasa.

The Service Provider shall ensure that the Sales Executive is fully onboarded, registered with all relevant DR Congo Kinshasa governmental bodies, and operational no later than 01 August 2025. A written confirmation of the Sales Executive's successful commencement, including proof of social security registration and labor contract filing, shall be submitted to the Purchasing Entity within five (5) business days of the start date.
