- Scope of Work: The Seller shall identify, shortlist, interview, and place a qualified Sales Executive who meets the competency matrix provided by the Buyer. The Sales Executive shall be based at the Buyer's office in Bellandur, Bangalore, Karnataka, India, and shall report directly to the Regional Sales Manager – South India.
- Performance Guarantee: The Seller guarantees that the placed Sales Executive shall remain in the position for a minimum period of ninety (90) days. In the event the Sales Executive resigns or is terminated for cause within this period, the Seller shall provide a replacement at no additional cost to the Buyer.
- Payment Terms: 40% advance payment (₹ 1,72,280) shall be due within seven (7) working days of PO acceptance. The remaining 60% (₹ 2,58,420) shall be payable within fifteen (15) working days of the Sales Executive's successful completion of the 90-day performance guarantee period. All payments shall be made via NEFT/RTGS to the Seller's designated bank account in Bangalore, India.
- Statutory Compliance: The Seller shall ensure full compliance with all applicable Indian labour laws, including the Karnataka Shops and Commercial Establishments Act, 1961; the Employees' Provident Funds and Miscellaneous Provisions Act, 1952; the Employees' State Insurance Act, 1948; and the Professional Tax Act applicable in Karnataka. All statutory deductions for the Sales Executive shall be handled as per Indian tax regulations.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Sales Executive candidate during the recruitment phase, and all proprietary information exchanged during the engagement in Bangalore, India.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In case of termination before the Sales Executive is placed, the Buyer shall be liable only for services rendered up to the date of termination. In case of termination after placement, the 90-day guarantee clause shall remain in effect.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of the courts in Bangalore, India shall be exclusive.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Bangalore region, India.
- Governance: This Purchase Order shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and applicable commercial regulations in Karnataka, India.
