1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon countersignature by both parties. All services described herein shall be rendered exclusively within the jurisdiction of Iran Tehran unless otherwise agreed in writing.
2. The Sales Executive shall report directly to the Regional Sales Director based at the Tehran headquarters. The Sales Executive is expected to maintain a minimum of five (5) client meetings per week within the Tehran metropolitan area and its immediate surrounding provinces.
3. Payment shall be made in Iranian Rial (IRR) via bank transfer to the Vendor's designated account at Bank Melli Iran, Tehran branch. The first installment of 30% is due upon execution of this Purchase Order. The remaining 70% shall be paid in twelve (12) equal monthly installments, due on the 5th of each calendar month.
4. The Vendor guarantees that the Sales Executive shall possess a minimum of five (5) years of proven experience in B2B sales, fluency in Persian (Farsi) and English, and a valid Iranian work permit. Any misrepresentation shall void this Purchase Order and entitle the Buyer to a full refund within fourteen (14) business days.
5. All intellectual property, client data, and commercial strategies developed or accessed by the Sales Executive during the term of this Purchase Order shall remain the exclusive property of the Buyer. The Sales Executive shall sign a non-disclosure and non-compete agreement as a condition of commencement.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall facilitate a smooth transition of the Sales Executive role and provide a comprehensive handover report within ten (10) business days.
7. All disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Tehran Regional Arbitration Center (TRAC), located in Tehran, Iran. The governing law shall be the civil and commercial codes of the Islamic Republic of Iran.
8. The Vendor shall maintain professional liability insurance with a minimum coverage of 500,000,000 IRR for the duration of this Purchase Order, with the Buyer named as an additional insured party.

The Sales Executive shall commence duties no later than 15 July 2025 (25 Tir 1404) at the Buyer's Tehran office located at 42 Vali-Asr Street. The Vendor shall ensure that all onboarding documentation, social insurance registration, and workplace orientation are completed within the first five (5) business days of commencement. The Sales Executive shall operate under a standard Iranian working week of Saturday through Wednesday, 8:30 AM to 5:30 PM, with a one-hour lunch break, in compliance with the labor standards enforced in Iran Tehran.

By signing below, both parties acknowledge that this Purchase Order has been reviewed, understood, and accepted in its entirety. The Sales Executive engagement described herein shall proceed in accordance with the specifications, timelines, and financial terms outlined in this document. This Purchase Order is valid for a period of thirty (30) days from the date of issue and must be countersigned by an authorized representative of the Vendor to become effective.
