3. PAYMENT TERMSPayment against this Purchase Order shall be made in accordance with the following schedule:
- 30% Advance (USD 19,260.00): Due within ten (10) business days of the Buyer's written acceptance of this Purchase Order, payable via wire transfer to the Supplier's designated account in Dubai, UAE.
- 40% Milestone (USD 25,680.00): Due upon confirmed arrival and commencement of duties by the Sales Executive in Iraq Baghdad, evidenced by a signed onboarding acknowledgment form.
- 30% Balance (USD 19,260.00): Due in twelve (12) equal monthly installments of USD 1,605.00, commencing on the first business day of August 2025, covering the ongoing retainer and performance management services for the Sales Executive in Iraq Baghdad.
The Supplier shall ensure that the Sales Executive is fully onboarded, holding a valid Iraqi work permit, and physically present at the Buyer's office in Iraq Baghdad (Al-Mansour Business District) no later than 01 July 2025. The Supplier bears full responsibility for any delays in visa processing or immigration clearance in Iraq Baghdad. In the event of a delay exceeding fifteen (15) calendar days, the Buyer reserves the right to cancel this Purchase Order in its entirety and receive a full refund of all amounts paid to date, less any non-recoverable government fees.
5. TERMS AND CONDITIONS
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein supersede any prior correspondence, quotations, or verbal agreements regarding the Sales Executive engagement in Iraq Baghdad.
- The Sales Executive shall be subject to the Buyer's internal code of conduct, confidentiality policies, and anti-bribery regulations applicable to all personnel operating in Iraq Baghdad. The Supplier warrants that the Sales Executive has undergone a comprehensive background check, including criminal record verification in both the country of origin and Iraq.
- The Supplier guarantees a minimum engagement period of twelve (12) months for the Sales Executive in Iraq Baghdad. Should the Sales Executive resign or be terminated for cause prior to the completion of this period, the Supplier shall provide a replacement Sales Executive of equivalent or superior qualifications within thirty (30) calendar days at no additional cost to the Buyer.
- All intellectual property, client lists, sales data, and commercial strategies developed or accessed by the Sales Executive during the tenure in Iraq Baghdad shall remain the exclusive property of the Buyer.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, with any disputes to be resolved through arbitration in Baghdad under the rules of the Iraqi Chamber of Commerce. The venue for all legal proceedings shall be Iraq Baghdad.
- The Supplier shall maintain professional indemnity insurance with a minimum coverage of USD 500,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Neither party shall be liable for failure to perform obligations due to force majeure events, including but not limited to political instability, armed conflict, or government-imposed restrictions in Iraq Baghdad. Affected parties must provide written notice within seventy-two (72) hours of the occurrence.
