The scope of this Purchase Order encompasses the full lifecycle of the recruitment process, including candidate sourcing, multi-stage interviewing, background verification, contractual negotiation, and the initial ninety (90) day onboarding period. All activities related to this Purchase Order shall be conducted in compliance with Italian labor law (D.Lgs. 81/2008 and subsequent amendments) and the collective bargaining agreement (CCNL) applicable to commercial professionals in the Italy Milan region.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Italy Milan, Tribunale di Milano.
- Delivery and Commencement: The Sales Executive shall commence duties no later than 1 August 2025 at the Italy Milan headquarters. The Service Provider guarantees that all recruitment milestones outlined in Annex A of this Purchase Order shall be met within the agreed timeline.
- Payment Terms: Payment shall be made in two installments: fifty percent (50%) upon execution of this Purchase Order, and the remaining fifty percent (50%) upon successful completion of the ninety-day onboarding period. Payment shall be via bank transfer to the account specified by Executive Talent Partners S.p.A. in Italy Milan.
- Quality Assurance: The Sales Executive placed under this Purchase Order must meet the minimum qualifications specified in Annex B, including a minimum of seven (7) years of B2B sales experience, fluency in Italian and English, and a proven track record of exceeding revenue targets in the Italy Milan commercial market.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all information exchanged in the course of this Purchase Order. The Sales Executive shall be bound by a non-disclosure agreement compliant with Italian data protection regulations (GDPR and D.Lgs. 196/2003).
- Warranty and Replacement: Should the Sales Executive resign, be terminated for cause, or fail to meet performance benchmarks within the first twelve (12) months, the Service Provider shall, at no additional cost, initiate a replacement process in accordance with the terms of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Italy Milan region.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or informal communications shall not constitute a valid amendment.
