This Purchase Order is issued by Mediobanca Consulting S.r.l. to formally request and authorize the recruitment, placement, and onboarding of a qualified Sales Executive for our commercial operations based in Italy Naples. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. A 40% advance payment is due upon acceptance of this Purchase Order; the remaining 60% is payable upon successful completion of the 90-day onboarding period for the Sales Executive.
Commencement Date: The Sales Executive is expected to commence duties no later than 1 September 2025 at the company's principal office located in Naples, Italy. The vendor shall ensure all contractual and regulatory documentation is finalized no fewer than fifteen (15) business days prior to this date.
Compliance: All recruitment activities shall comply with Italian labour law (D.Lgs. 81/2008), the national collective bargaining agreement (CCNL Commercio), and applicable anti-discrimination legislation in force in the Campania region. The vendor warrants that no data protection violations under GDPR or the Italian Privacy Code (D.Lgs. 196/2003) shall occur during the candidate screening process.
Confidentiality: The vendor agrees to maintain strict confidentiality regarding the company's commercial strategies, client lists, and internal compensation structures. All candidate data collected during the search process for this Sales Executive role shall be stored on servers physically located within Italy Naples or the European Economic Area.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination after the candidate has been placed, the vendor shall be entitled to 50% of the Placement & Onboarding Fee (Item 02) as a partial compensation.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the Courts of Naples, Italy.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Naples metropolitan area.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the procurement of a Sales Executive for the Italy Naples office. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
