This Purchase Order is issued by Meridian Business Solutions S.r.l. to Talento Executive Recruitment SpA for the professional recruitment, screening, vetting, and placement of a qualified Sales Executive to be permanently assigned to the Rome, Italy office. The Sales Executive shall be responsible for driving revenue growth, managing key client relationships across the Lazio region, and representing the company at trade exhibitions and business forums held throughout Italy Rome and the broader central Italian market. The supplier shall ensure that the Sales Executive candidate meets all the competency requirements outlined in Section 3 of this Purchase Order and shall guarantee a minimum twelve-month performance warranty on the placement.

The Sales Executive to be procured under this Purchase Order must satisfy the following minimum qualifications and competencies, as agreed upon by both parties for the Italy Rome market:

- Acceptance: This Purchase Order shall become binding upon written acceptance by the supplier within five (5) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
- Delivery and Performance: The supplier shall deliver the fully vetted and contractually bound Sales Executive to the Rome, Italy office no later than 01 August 2025. All onboarding activities specified in Item 03 shall be completed within the first ten (10) business days of the Sales Executive's start date.
- Payment Schedule: A 40% advance payment (EUR 15,372.00) shall be due upon acceptance of this Purchase Order. The remaining 60% (EUR 23,058.00) shall be due within thirty (30) days of the Sales Executive's successful completion of the onboarding period in Rome, Italy.
- Warranty and Replacement: The twelve-month performance warranty is non-transferable and applies exclusively to the Sales Executive placed under this Purchase Order. Any replacement candidate must meet the identical qualification criteria set forth in Section 4.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all candidate data, compensation structures, and commercial terms contained in this Purchase Order, in accordance with Italian privacy law and the EU General Data Protection Regulation (GDPR).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Italy Rome, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration seated in Rome, Italy, in accordance with the rules of the Chamber of Commerce of Rome (Camera di Commercio di Roma). The language of arbitration shall be English.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
