All activities shall be conducted in compliance with the labor laws of the Republic of Ivory Coast and the specific regulatory requirements applicable to the Abidjan economic zone.

• Scope of Work: The vendor shall deliver a fully qualified Sales Executive with a minimum of five (5) years of proven B2B sales experience in the West African market, with specific familiarity of the Ivory Coast Abidjan commercial landscape. The candidate must demonstrate fluency in French and working proficiency in English.
• Delivery Location: All onboarding, training, and initial deployment activities for the Sales Executive shall take place at the buyer's registered office in Abidjan, Ivory Coast, or at such other location within the Abidjan metropolitan area as mutually agreed in writing.
• Payment Schedule: 40% of the total Purchase Order value shall be due upon successful placement and commencement of the Sales Executive. The remaining 60% shall be disbursed in three equal monthly installments over the subsequent three months, contingent upon satisfactory performance milestones.
• Performance Guarantee: The vendor guarantees the Sales Executive's performance for a period of ninety (90) calendar days from the date of commencement. In the event of underperformance or voluntary departure within this window, the vendor shall, at its own cost, source and place a replacement Sales Executive of equivalent or superior qualification within thirty (30) days.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding all commercial data, client lists, pricing structures, and strategic information shared in connection with this Purchase Order. This obligation shall survive the termination of the engagement for a period of two (2) years.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ivory Coast. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the commercial courts of Abidjan.
• Tax and Duties: All applicable taxes, including the Value Added Tax (TVA) at the prevailing rate in Ivory Coast, shall be borne as specified in the applicable tax legislation. The vendor shall provide valid tax invoices for all payments processed under this Purchase Order.
