- Scope of Engagement: This Purchase Order is exclusively for the procurement of a Sales Executive position and associated services for the Japan Tokyo division. The Sales Executive shall report directly to the Regional Sales Director, Japan Tokyo, and shall be responsible for driving revenue growth across the Kanto and Kansai metropolitan markets.
- Compliance: All activities under this Purchase Order shall comply with the Japanese Labor Standards Act, the Act on the Proper Conduct of Dispatching Businesses, and all applicable regulations of the Ministry of Health, Labour and Welfare in Japan Tokyo.
- Confidentiality: The vendor and all personnel involved in the recruitment and placement of the Sales Executive shall maintain strict confidentiality regarding candidate information, compensation structures, and proprietary sales strategies of the Japan Tokyo division.
- Warranty and Replacement: In the event the placed Sales Executive resigns or is terminated for cause within the first six (6) months of employment in the Japan Tokyo office, the vendor shall provide a replacement candidate at no additional cost under this Purchase Order.
- Intellectual Property: All sales data, client relationships, and market intelligence generated by the Sales Executive during the term of employment in Japan Tokyo shall remain the exclusive property of Pacific Rim Corporate Holdings Ltd.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all completed line items shall be invoiced, and outstanding obligations for the Sales Executive's employment in Japan Tokyo shall be settled in accordance with Japanese labor law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
