- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Kuwait Kuwait City.
- The Supplier warrants that the Sales Executive placed under this Purchase Order shall possess a minimum of five (5) years of proven experience in B2B sales within the GCC region, with a demonstrated track record of exceeding quarterly revenue targets.
- All services related to the Sales Executive shall be performed at the Buyer's premises located in Al Hamra District, Kuwait Kuwait City, during standard Kuwaiti business hours (Sunday through Thursday, 8:00 AM to 5:00 PM), unless otherwise agreed in writing.
- Payment for this Purchase Order shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at a rate of 1.5% per month.
- The Sales Executive shall be bound by a non-disclosure agreement and non-compete clause for a period of twelve (12) months following the termination of employment, specifically protecting the Buyer's client database and commercial strategies developed within the Kuwait Kuwait City market.
- This Purchase Order may be amended only by mutual written consent of both parties. No verbal modifications shall be binding. All amendments must reference this Purchase Order number (PO-2025-KWT-00472).
- The Supplier shall indemnify and hold harmless the Buyer against any claims, liabilities, or penalties arising from non-compliance with Kuwaiti labour regulations in the employment of the Sales Executive.
- Force majeure events, including but not limited to government-mandated closures in Kuwait Kuwait City, shall suspend obligations under this Purchase Order for the duration of the event without penalty to either party.
