The vendor, Crescent Talent Partners, shall ensure that the Sales Executive is fully compliant with all applicable Pakistani labor regulations, including the Sindh Shops and Establishments Ordinance, the Pakistan Labor Welfare Fund Act, and all relevant tax withholding obligations as mandated by the Federal Board of Revenue (FBR) of Pakistan.

3.1 Commencement Date: The services under this Purchase Order shall commence on 01 July 2025, and the Sales Executive shall report to the Al-Madina Enterprise Solutions office located at Clifton Block 5, Karachi, Pakistan, no later than 09:00 AM on the first business day.

3.2 Payment Schedule: Payment shall be made via bank transfer to the vendor's designated account in Karachi, Pakistan, within thirty (30) days of receipt of a valid tax invoice. The initial payment of PKR 258,500.00 (covering items 1, 2, and 3) shall be due upon successful onboarding of the Sales Executive. Subsequent monthly payments of PKR 12,000.00 plus applicable tax shall be due on the 5th of each month for item 4.

3.3 Performance Metrics: The Sales Executive shall be evaluated against key performance indicators (KPIs) including monthly revenue targets, number of new client acquisitions in Pakistan Karachi, customer satisfaction scores, and pipeline generation. Failure to meet 70% of the agreed KPIs for two consecutive months shall entitle the buyer to terminate this Purchase Order with thirty (30) days' written notice.

3.4 Confidentiality: The Sales Executive shall be bound by a non-disclosure agreement (NDA) covering all proprietary information, client data, pricing structures, and business strategies of Al-Madina Enterprise Solutions. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.

3.5 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Karachi, Sindh, Pakistan.

3.6 Cancellation Policy: Either party may cancel this Purchase Order by providing thirty (30) days' written notice. In the event of cancellation by the buyer after the Sales Executive has been placed, a cancellation fee of 50% of the remaining contract value shall be payable to the vendor.

3.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Karachi, or acts of war.
