- Payment Terms: Payment shall be made within thirty (30) calendar days from the receipt of a valid invoice (Factura) issued by TalentBridge Executive Search S.R.L. All payments will be processed via bank transfer to the vendor's account held at Banco de Crédito del Perú, Lima branch. The total Purchase Order value of PEN 273,406.00 is subject to the line-item schedule outlined in Section 2.
- Commencement and Delivery: The Sales Executive must be fully onboarded and operational at the Peru Lima headquarters no later than 01 July 2025. Any delay beyond this date will incur a penalty of PEN 500.00 per business day, deducted from the vendor's compensation.
- Performance Metrics: The Sales Executive will be evaluated against quarterly Key Performance Indicators (KPIs) including revenue targets, client acquisition rates, and market penetration within the Peru Lima commercial corridor. Failure to meet 70% of KPIs for two consecutive quarters may result in contract termination with thirty (30) days' written notice.
- Compliance: All aspects of this Purchase Order shall comply with Peruvian commercial law, the Peruvian Civil Code, and applicable labor regulations governing employment in Peru Lima. The vendor warrants that the Sales Executive will hold all necessary work permits and social security registrations.
- Confidentiality: The Sales Executive and the vendor shall maintain strict confidentiality regarding Andes Pacific's client data, pricing strategies, and proprietary sales methodologies. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement date.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the vendor shall provide a full transition plan for the Sales Executive role to ensure continuity of operations in Peru Lima.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising from this document shall be resolved through the competent commercial courts of Lima, Peru.
This Purchase Order constitutes a binding procurement commitment upon signature by all authorized parties. The engagement of the Sales Executive under this Purchase Order is contingent upon successful completion of all background checks, reference verifications, and medical clearance as required by Peruvian labor standards applicable in Peru Lima.
