• 4.1 This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplying Party for the provision of Sales Executive services in Russia Saint Petersburg. All terms herein shall be governed by the Civil Code of the Russian Federation and applicable commercial legislation.
• 4.2 The Sales Executive shall commence duties no later than 1 August 2025 at the designated office location in Russia Saint Petersburg. Failure to commence within the stipulated period shall entitle the Purchasing Party to terminate this Purchase Order without penalty.
• 4.3 The Supplying Party guarantees that the Sales Executive shall possess a minimum of five (5) years of verifiable experience in B2B industrial sales, fluency in Russian and English, and a clean professional reference record.
• 4.4 Payment shall be made in monthly installments of 184,500.00 RUB (excluding VAT) via bank transfer to the account of Baltic Talent Solutions JSC, within fifteen (15) business days of receipt of a valid invoice. All payments shall be processed in Russian Rubles (RUB) through the banking system of Russia Saint Petersburg.
• 4.5 The Sales Executive shall be subject to a non-compete clause for a period of twelve (12) months following the termination of this Purchase Order, applicable to the Russia Saint Petersburg commercial territory and the Leningrad Oblast region.
• 4.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Purchasing Party shall be liable for all services rendered up to the termination date, plus a severance equivalent to one month's compensation for the Sales Executive.
• 4.7 All intellectual property, client databases, and sales methodologies developed by the Sales Executive during the term of this Purchase Order shall remain the exclusive property of Northern Capital Trading LLC.
• 4.8 Disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast, Russia Saint Petersburg, in accordance with the applicable procedural rules.

By signing below, both parties acknowledge that this Purchase Order has been reviewed, understood, and accepted in full.
