This Purchase Order is issued by Al-Riyadh Enterprise Solutions Co. Ltd. (hereinafter referred to as the "Buyer") to Gulf Talent Recruitment & Staffing FZE (hereinafter referred to as the "Vendor") for the recruitment, placement, and ongoing management of a qualified Sales Executive to operate within the Buyer's commercial operations in Riyadh, Saudi Arabia. The Sales Executive shall be responsible for driving revenue growth, managing client relationships, executing sales strategies, and representing the Buyer's brand across the Riyadh metropolitan area and surrounding provinces. The Vendor shall ensure that the Sales Executive meets all qualifications, licensing, and regulatory requirements mandated by the Saudi Ministry of Human Resources and Social Development (MHRSD) and the Saudi Arabian General Investment Authority (SAGIA) for foreign and national workforce placement.

The Sales Executive engaged under this Purchase Order shall perform the following duties within the Riyadh business district and its surrounding commercial zones:
- Develop and execute a comprehensive sales strategy aligned with the Buyer's annual revenue targets for the Saudi Arabian market.
- Identify, prospect, and close new business opportunities with corporate clients, government entities, and SMEs operating in Riyadh.
- Manage the full sales cycle from initial client engagement through contract negotiation, closing, and post-sale relationship management.
- Prepare and present quarterly business reports, pipeline forecasts, and market intelligence to the Buyer's Regional Director based in Riyadh.
- Ensure full compliance with Saudi commercial regulations, anti-bribery laws, and the Buyer's internal code of conduct.
- Attend industry events, trade exhibitions, and networking functions held in Riyadh to expand the Buyer's professional network.
- Acceptance: This Purchase Order shall become binding upon written acceptance by the Vendor within five (5) business days of the issue date. Failure to respond within this period shall constitute a rejection of this Purchase Order.
- Commencement: The Sales Executive must be fully onboarded, holding a valid work permit, and reporting to the Buyer's Riyadh office no later than 01 July 2025. Any delay beyond this date shall incur a penalty of SAR 2,000 per business day.
- Payment Schedule: The Buyer shall remit payment in three equal installments: 30% upon execution of this Purchase Order, 40% upon successful onboarding of the Sales Executive, and 30% upon completion of the six-month performance review period. All payments shall be made in Saudi Riyals via interbank transfer to the Vendor's designated account in Saudi Arabia.
- Performance KPIs: The Sales Executive shall be evaluated against predefined Key Performance Indicators including monthly revenue targets, number of qualified leads generated, client retention rate, and customer satisfaction scores. Failure to meet 70% of KPIs for two consecutive months shall entitle the Buyer to request a replacement under the terms of Reference 05.
- Confidentiality: The Vendor and the Sales Executive shall maintain strict confidentiality regarding the Buyer's proprietary information, client data, pricing structures, and business strategies. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Vendor shall facilitate the transfer of the Sales Executive's Iqama and work permit to the Buyer or a third party within fourteen (14) days.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Saudi Arabia.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to the Riyadh Commercial Courts in accordance with the laws of the Kingdom of Saudi Arabia.
- Anti-Corruption: The Vendor warrants that no part of the fees under this Purchase Order shall be used for any corrupt, fraudulent, or illegal purpose in accordance with Saudi anti-corruption legislation.
By signing below, the authorised representatives of both parties confirm that this Purchase Order for the procurement of Sales Executive services in Riyadh, Saudi Arabia, is executed in good faith and constitutes a binding agreement between the parties.
