This Purchase Order is issued by Seoul Metropolitan Business Solutions Co., Ltd. (hereinafter referred to as "the Buyer") to Hanul Talent Acquisition Group, Inc. - Scope and Deliverables: The Vendor shall deliver a fully vetted, contractually bound Sales Executive to the Buyer's premises in South Korea Seoul no later than the Required Start Date specified above. The Sales Executive shall be employed under a standard South Korean labor contract compliant with the Korean Labor Standards Act (Ministry of Employment and Labor regulations).
- Payment Schedule: A 40% advance payment (KRW 6,680,000) shall be due upon execution of this Purchase Order. The remaining 60% (KRW 10,020,000) shall be payable within thirty (30) calendar days following the Sales Executive's successful completion of the 90-day onboarding period and delivery of the first quarterly performance report.
- Compliance and Legal: All services rendered under this Purchase Order shall comply with the laws of the Republic of Korea, including but not limited to the Korean Labor Standards Act, the Personal Information Protection Act, and all applicable regulations governing employment in South Korea Seoul. The Vendor warrants that the Sales Executive holds all necessary work authorizations and visas for employment in South Korea.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary business information, client data, sales strategies, and compensation structures exchanged in connection with this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination prior to the Sales Executive's successful onboarding, the Buyer shall be entitled to a full refund of any advance payments made, less documented expenses incurred by the Vendor in South Korea Seoul.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Seoul, South Korea, administered by the Korean Commercial Arbitration Board (KCAB).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in South Korea Seoul.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of a Sales Executive to be deployed in South Korea Seoul. This document constitutes a binding agreement between the Buyer and the Vendor effective as of the date of the last signature.
