- This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Sri Lanka Colombo.
- The Sales Executive shall be engaged on a full-time, permanent basis with a minimum contract duration of twelve (12) months. The base salary, commission structure, and benefits package for the Sales Executive shall be as mutually agreed and documented in the separate employment contract, which is not part of this Purchase Order.
- Payment for this Purchase Order shall be made via bank transfer to the supplier's designated account in Sri Lanka Colombo within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 2% per month as stipulated under the Interest Act of Sri Lanka.
- The supplier warrants that the Sales Executive placed under this Purchase Order shall possess all qualifications, certifications, and professional references as specified in the job description annexed to this document. Any misrepresentation shall entitle the buyer to a full refund of the recruitment fee (Item 01).
- All services rendered under this Purchase Order shall be performed in and around the Sri Lanka Colombo metropolitan area, including but not limited to Colombo 01, 02, 03, 04, 05, 07, and 10. The Sales Executive shall be expected to travel within the Colombo district for client meetings and field sales activities.
- The supplier shall maintain full confidentiality regarding the buyer's proprietary sales data, client lists, pricing structures, and business strategies. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered up to the date of termination, and the supplier shall refund any pre-paid amounts for services not yet delivered.
- This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties. The Sales Executive, once placed, shall be an employee of the buyer and not of the supplier.
- All communications regarding this Purchase Order shall be in English. In the event of any discrepancy between the English version and any other language version, the English version shall prevail.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the Sales Executive services described herein and supersedes all prior negotiations, representations, and agreements relating to Sri Lanka Colombo operations.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the procurement of the Sales Executive services in Sri Lanka Colombo. This document is valid only when signed and stamped by authorised representatives of both parties.
