Terms and Conditions

1. Scope of Work: This Purchase Order authorizes the procurement of all goods and services listed above specifically for the recruitment, onboarding, and operational equipping of a Sales Executive to be based at our Switzerland Zurich headquarters. The Sales Executive will be responsible for driving revenue growth across the German-speaking Swiss market and managing key enterprise accounts within the Switzerland Zurich region.
2. Delivery and Acceptance: All services and equipment referenced in this Purchase Order must be delivered or made available no later than 01 August 2025. The Sales Executive must be fully operational and integrated into the Switzerland Zurich sales team by this date. Acceptance of goods and services will be confirmed in writing by the undersigned procurement officer within five (5) business days of delivery.
3. Payment: Payment of the full amount of CHF 55,648.79 shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of the date of this Purchase Order, in accordance with Swiss commercial law (OR Art. 107). The payment will be processed through Alpine Corporate Solutions AG's accounts payable department in Switzerland Zurich.
4. Compliance: The vendor shall ensure full compliance with all applicable Swiss federal and cantonal regulations, including the Swiss Federal Act on Foreign Nationals and Integration (FNIA), the Swiss Code of Obligations, and all data protection requirements under the revised Federal Act on Data Protection (revFADP). The Sales Executive's employment contract must comply with the Swiss Labour Act and applicable collective labour agreements (GAV) for the Switzerland Zurich area.
5. Confidentiality: All information exchanged in connection with this Purchase Order, including candidate data, compensation details for the Sales Executive, and internal business strategies, shall be treated as strictly confidential in accordance with Swiss law. Neither party shall disclose such information to third parties without prior written consent.
6. Cancellation and Penalties: In the event that the Sales Executive position is cancelled prior to the commencement of the recruitment process, a cancellation fee of 15% of the total Purchase Order value shall apply. If the vendor fails to deliver the Sales Executive by the required date, a penalty of 0.5% of the total value per day of delay shall be deducted from the final invoice, up to a maximum of 10%.
7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Switzerland Zurich, Canton of Zurich.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, pandemics, or government-mandated restrictions affecting operations in Switzerland Zurich.

NOTE: This Purchase Order is issued in accordance with the internal procurement policy of Alpine Corporate Solutions AG. The Sales Executive role described herein is a full-time, permanent position based in Switzerland Zurich. The vendor is required to provide a detailed project timeline and milestone schedule within ten (10) business days of acceptance of this Purchase Order.
