All services and physical goods specified in this Purchase Order shall be delivered and made available at the buyer's office located in the Levent Business District, Istanbul, Turkey. The Sales Executive recruitment process shall be completed within thirty (30) calendar days from the date of this Purchase Order. Office equipment and software licenses shall be installed and operational within ten (10) business days of the Sales Executive's confirmed start date. The initial training program shall be conducted on-site in Turkey Istanbul within the first two weeks of employment. The monthly retainer services shall commence on the first day of the month following the Sales Executive's onboarding date.
- Payment shall be made in Turkish Lira (TRY) via bank transfer to the supplier's designated account in Istanbul, Turkey.
- 40% advance payment (TRY 186,000.00) due within five (5) business days of Purchase Order acceptance.
- 40% milestone payment (TRY 186,000.00) due upon confirmed onboarding of the Sales Executive and delivery of all equipment.
- 20% final payment (TRY 93,000.00) due upon successful completion of the initial training program and 30-day performance verification.
- Monthly retainer invoices shall be payable within fifteen (15) days of invoice receipt.
- All payments are subject to the terms outlined in this Purchase Order and the master service agreement between the parties.
- This Purchase Order is governed by the laws of the Republic of Turkey, with jurisdiction vested in the commercial courts of Istanbul.
- The Sales Executive shall be employed under a standard Turkish labor contract with a minimum one-year term, subject to the provisions of Law No. 4857.
- The supplier warrants that the Sales Executive candidate meets all qualifications specified in the attached job description and possesses valid work authorization for Turkey Istanbul.
- All personal data processed during the recruitment and onboarding of the Sales Executive shall comply with the Turkish Personal Data Protection Law (KVKK, Law No. 6698).
- Either party may terminate this Purchase Order with thirty (30) days written notice; however, termination fees as specified in the master agreement shall apply.
- Any disputes arising from this Purchase Order shall first be subject to mediation in Istanbul before proceeding to litigation.
- This Purchase Order becomes effective upon written acceptance by both parties and remains valid until the completion of all listed deliverables.
