- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and applicable regulations of the Dubai Department of Economy and Tourism. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts.
- Scope of Services: Apex Talent Partners FZE agrees to procure, place, and manage a qualified Sales Executive who shall operate exclusively within the United Arab Emirates Dubai metropolitan area. The Sales Executive must hold a minimum of five (5) years of proven B2B sales experience in the GCC region and demonstrate fluency in both English and Arabic.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the vendor's designated account in the United Arab Emirates Dubai. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon successful onboarding and commencement of duties by the Sales Executive. The final installment (33.34%) is due upon completion of the twelve-month service period, subject to satisfactory performance evaluation.
- Commencement Date: The Sales Executive shall report for duty no later than 01 August 2025 at the Meridian Business Solutions LLC headquarters located in the Dubai International Financial Centre (DIFC), United Arab Emirates Dubai. All visa and residency processing must be completed prior to this date.
- Performance Metrics: The Sales Executive shall be evaluated against the following Key Performance Indicators: minimum of AED 1.2 million in new revenue generated per quarter, a client retention rate of no less than 85%, and a minimum of twenty (20) qualified business opportunities logged in the CRM system per month. Failure to meet these targets for two consecutive quarters shall constitute grounds for review under this Purchase Order.
- Confidentiality: The Sales Executive and Apex Talent Partners FZE shall maintain strict confidentiality regarding all proprietary information, client data, pricing structures, and strategic plans of Meridian Business Solutions LLC. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance: All services rendered under this Purchase Order shall comply with the UAE Labour Law (Federal Decree-Law No. 33 of 2021), the Dubai Municipality regulations, and all applicable anti-bribery and anti-corruption statutes of the United Arab Emirates Dubai jurisdiction.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all outstanding invoices for services rendered shall be settled within fourteen (14) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or changes in United Arab Emirates Dubai regulatory frameworks that render performance impossible.
