Terms and Conditions

This Purchase Order constitutes a binding agreement between Meridian Atlantic Holdings, LLC (hereinafter "Buyer") and Apex Talent Solutions Group, Inc. (hereinafter "Vendor") for the procurement of professional Sales Executive recruitment and placement services in the United States Miami metropolitan area.
All services described herein shall be performed in full compliance with the laws of the State of Florida and the United States of America, including but not limited to the Fair Labor Standards Act, the Equal Employment Opportunity Act, and applicable Florida state employment statutes governing the hiring of a Sales Executive in the United States Miami region.
The Vendor warrants that the Sales Executive placed under this Purchase Order shall possess a minimum of seven (7) years of demonstrated B2B sales experience, a valid United States work authorization, and a clean background check conducted in accordance with the Fair Credit Reporting Act (FCRA).
Payment shall be remitted via ACH transfer to the Vendor's designated bank account within thirty (30) calendar days of the Buyer's receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, as permitted under Florida Statute Chapter 742.
The Vendor shall maintain all candidate data and Sales Executive personnel records in strict compliance with the Florida Information Protection Act (FIPA) and applicable United States federal privacy regulations. All data processing related to this Purchase Order shall occur within the United States, with primary operations based in Miami, Florida.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable only for services rendered and expenses incurred up to the date of termination.
All disputes arising from or related to this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, United States Miami, Florida, in accordance with the rules of the American Arbitration Association. The governing law shall be that of the State of Florida, United States.
The Sales Executive engaged under this Purchase Order shall be subject to a non-compete and non-solicitation agreement as outlined in the separate employment contract, consistent with Florida Statute Section 542.335, for a period not exceeding two (2) years following the termination of the engagement.
This Purchase Order is valid for acceptance until September 12, 2025. Any modifications or amendments to this document must be made in writing and signed by authorized representatives of both parties.
The Vendor acknowledges that the Sales Executive role is critical to the Buyer's strategic expansion in the United States Miami market, and commits to delivering all milestones within the timelines specified in the line items above.
