This Purchase Order is issued by Central Asia Trade & Commerce LLP (hereinafter referred to as the "Buyer") to Professional Talent Solutions (Uzbekistan) FZE (hereinafter referred to as the "Vendor") for the procurement and placement of a qualified Sales Executive to support the Buyer's commercial operations in Uzbekistan Tashkent. The Sales Executive shall be responsible for driving revenue growth, managing key client relationships, and executing the sales strategy across the Tashkent metropolitan area and surrounding regions of the Republic of Uzbekistan.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and applicable commercial regulations of Uzbekistan Tashkent. Any disputes arising from this agreement shall be resolved through arbitration at the International Arbitration Center under the Chamber of Commerce and Industry of Uzbekistan, seated in Tashkent.
- Commencement: The Sales Executive shall commence active duties no later than 01 August 2025. The Vendor is responsible for ensuring all recruitment, vetting, and onboarding activities are completed prior to this date to allow the Sales Executive to integrate seamlessly into the Uzbekistan Tashkent operations team.
- Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Vendor. The initial recruitment fee (Item 01) and onboarding package (Item 03) shall be invoiced upon successful placement. Monthly retainers (Item 02) and quarterly reports (Item 04) shall be invoiced in arrears. All payments shall be made in USD via wire transfer to the Vendor's designated bank account in Tashkent, Uzbekistan.
- Performance KPIs: The Sales Executive shall be evaluated against predefined Key Performance Indicators including monthly revenue targets, client acquisition rates, and market penetration metrics specific to the Uzbekistan Tashkent region. Failure to meet 70% of KPIs for two consecutive quarters shall entitle the Buyer to request a replacement under the terms of this Purchase Order.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all commercial data, client lists, pricing structures, and strategic plans shared in connection with this Purchase Order. The Sales Executive shall be bound by a non-disclosure agreement compliant with Uzbek data protection legislation prior to commencing duties in Uzbekistan Tashkent.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the termination date. The Vendor shall facilitate a smooth transition of the Sales Executive's responsibilities to ensure continuity of operations in Uzbekistan Tashkent.
- Compliance: The Vendor warrants that the Sales Executive placed under this Purchase Order shall comply with all labor laws, tax obligations, and regulatory requirements of the Republic of Uzbekistan. The Vendor assumes full responsibility for employment-related liabilities, including but not limited to social security contributions, mandatory insurance, and statutory leave provisions applicable in Uzbekistan Tashkent.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Uzbekistan Tashkent region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Sales Executive services in Uzbekistan Tashkent. This document constitutes a binding commercial agreement upon execution by authorized representatives of both parties.
