- This Purchase Order (PO-VC-2025-00487) constitutes a binding agreement between Caracas Commercial Group, C.A. (hereinafter "the Buyer") and Executive Talent Solutions Venezuela, C.A. (hereinafter "the Service Provider") for the recruitment, engagement, and ongoing management of a qualified Sales Executive to operate within the Venezuela Caracas metropolitan area.
- The Sales Executive engaged under this Purchase Order shall report directly to the Regional Sales Director for Venezuela Caracas and shall be physically based at the Buyer's headquarters located in Chacao, Venezuela Caracas, with a minimum of four (4) days per week on-site presence. Remote work may be authorized for up to one (1) day per week at the discretion of the Regional Sales Director.
- The Service Provider guarantees that the Sales Executive shall possess a minimum of five (5) years of progressive sales experience in the Venezuelan market, fluency in Spanish and English, a valid Venezuelan driver's license, and a clean criminal background record as verified by the relevant authorities in Venezuela Caracas.
- Payment for this Purchase Order shall be made in United States Dollars (USD) via wire transfer to the bank account specified above. The first installment of 50% shall be due upon successful onboarding of the Sales Executive, and the remaining 50% shall be due upon completion of the twelve-month engagement period, subject to satisfactory performance review.
- All services rendered under this Purchase Order shall comply with the labor, tax, and social security regulations of the Bolivarian Republic of Venezuela, specifically those enforced in the Venezuela Caracas jurisdiction. The Service Provider assumes full responsibility for INPSASEL contributions, income tax withholding (ISLR), and any applicable municipal levies in Venezuela Caracas.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Sales Executive fails to meet the minimum quarterly performance benchmarks established in the individual performance agreement. In such case, the Buyer shall be entitled to a pro-rata refund of unused service fees.
- Confidentiality: Both parties agree that all commercial data, client lists, pricing structures, and strategic sales plans related to the Sales Executive's operations in Venezuela Caracas shall remain strictly confidential and shall not be disclosed to third parties without prior written consent.
- This Purchase Order is governed by the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas in accordance with the rules of the Chamber of Commerce of Caracas.
- The Service Provider shall maintain professional liability insurance with a minimum coverage of USD 500,000 for the duration of this Purchase Order, naming the Buyer as an additional insured party.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall hold no legal effect.
