4. TERMS AND CONDITIONS
- Compliance with Local Regulations: The School Counselor engaged under this Purchase Order must hold a valid professional registration with the Colegio de Psicólogos de la Provincia de Córdoba and comply with all labor and educational regulations applicable in Argentina Córdoba, including Decreto Provincial N° 1.892/2023 governing non-teaching educational staff.
- Payment Schedule: Payment shall be made in ten (10) equal monthly installments via transferencia bancaria (bank transfer) to the supplier's designated account, due on the 5th business day of each month following service rendering. The initial payment is contingent upon the School Counselor's formal incorporation into the school roster.

- Warranty and Liability: The Supplier warrants that the School Counselor possesses all required qualifications, professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 5,000,000, and no disciplinary sanctions on record with the provincial education authority.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure a minimum of two (2) weeks of transition support to guarantee continuity of the School Counselor services for enrolled students.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Province of Córdoba, Republic of Argentina. Any disputes arising from its interpretation or execution shall be resolved by the competent courts of Córdoba Capital, Argentina Córdoba.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, public health emergencies declared by the provincial government of Argentina Córdoba, or governmental mandates affecting school operations.
5. DELIVERY AND INCORPORATION DETAILS
The School Counselor shall commence duties on or before 1 April 2025 at the designated secondary school institution within the municipal jurisdiction of Córdoba Capital. The Supplier is responsible for completing all onboarding procedures, including background checks (antecedentes penales), health certification, and registration with the provincial education database (Sistema de Gestión de Personal Educativo – SIGEP) within the first ten (10) business days of the Purchase Order effective date.
