4. Terms and Conditions

This Purchase Order is issued in accordance with the procurement policies of Dhaka International Public School & College and complies with the Bangladesh Public Procurement Act, 2006 (as amended), where applicable to private educational institutions operating in Dhaka, Bangladesh.
The School Counselor services described herein must be delivered at the school premises located in Banani, Dhaka 1213, Bangladesh, during standard academic hours (8:00 AM to 4:00 PM, Sunday through Thursday) for the full academic year 2025–2026.
The supplier, EdCare Professional Services Ltd., shall ensure that the School Counselor assigned holds valid professional licensure from the Bangladesh Psychologists Association (BPA) and maintains current registration with the relevant regulatory body in Dhaka.
Payment shall be made in quarterly installments via bank transfer to the supplier's designated account in a commercial bank operating in Dhaka, Bangladesh. The first installment of BDT 735,000 shall be due within 15 working days of the commencement date.
The supplier shall provide a detailed monthly activity report to the Director of Administration, documenting all School Counselor sessions conducted, student referrals processed, and program outcomes achieved within the Dhaka campus.
Confidentiality is paramount. All student records, counseling notes, and personal data handled by the School Counselor must be maintained in strict accordance with the Digital Security Act, 2018 of Bangladesh and the institution's data protection policy.
This Purchase Order may be terminated by either party with 30 days' written notice. In the event of early termination, payment shall be pro-rated based on services actually rendered by the School Counselor up to the termination date.
All disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh. The governing law shall be the laws of the People's Republic of Bangladesh.
The supplier warrants that the School Counselor personnel shall not be engaged in any conflicting professional obligations during the contract period and shall dedicate full professional attention to the students of the institution in Dhaka.
Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications shall hold no legal validity under Bangladeshi contract law.
