- This Purchase Order is issued by Colégio Educacional Paulista, a private educational institution legally established in the city of São Paulo, State of São Paulo, Brazil, and shall be governed by the Brazilian Civil Code (Código Civil – Lei nº 10.406/2002) and applicable municipal regulations.
- The School Counselor engaged under this Purchase Order must hold a valid registration with the Conselho Regional de Psicologia – 6ª Região (CRP-06), which oversees psychological professionals in the state of São Paulo, Brazil. Proof of registration shall be submitted prior to the commencement of services.
- Services shall commence on August 25, 2025, coinciding with the start of the second semester of the 2025 academic year at the São Paulo campus, and shall continue through June 30, 2026, unless terminated earlier in accordance with the provisions herein.
- Payment shall be made in monthly installments via bank transfer (TED/DOC) to the account designated by the supplier, within 15 (fifteen) business days following the receipt of the monthly invoice (nota fiscal de serviço) issued in compliance with São Paulo municipal tax regulations.
- The School Counselor shall maintain strict confidentiality of all student records, session notes, and personal information in accordance with Brazil's General Data Protection Law (LGPD – Lei nº 13.709/2018) and the Estatuto da Criança e do Adolescente (ECA – Lei nº 8.069/1990).
- The supplier warrants that the School Counselor shall comply with all ethical guidelines established by the Conselho Federal de Psicologia (CFP) and shall not engage in any dual relationships with students, parents, or staff members of the institution.
- Either party may terminate this Purchase Order with 30 (thirty) days' written notice. In the event of termination, the supplier shall provide a comprehensive transition report and handover of all student counseling records to the institution's designated successor professional.
- All disputes arising from this Purchase Order shall be resolved through the courts of the city of São Paulo, State of São Paulo, Brazil, or through mediation at the Centro de Mediação e Arbitragem da Câmara de Comércio de São Paulo, at the election of the aggrieved party.
- The supplier shall maintain professional liability insurance (seguro de responsabilidade civil) with a minimum coverage of R$ 500.000,00 for the duration of the contract, naming the institution as an additional insured party.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of School Counselor services and supersedes all prior negotiations, representations, or agreements, whether written or oral, related to the subject matter herein.
