This Purchase Order is issued by the Toronto District School Board to procure the professional services of a qualified School Counselor to be deployed across designated secondary and elementary schools within the City of Toronto, Ontario, Canada. The School Counselor shall provide comprehensive student support services in full compliance with the Education Act (R.S.O. 1990, c. E.2), the Child, Youth and Family Services Act, and all applicable regulations of the Ontario College of Social Workers and Social Workers (OCSWSSW) and the Ontario College of Registered Psychotherapists (CRPO).

The services shall be delivered within the geographic boundaries of Canada Toronto, specifically covering the North York, Scarborough, and Etobicoke school divisions. The School Counselor is expected to hold a minimum of a Master's degree in Counselling Psychology or a related field, be registered with the appropriate Ontario professional college, and possess a minimum of five (5) years of demonstrated experience in K-12 school counselling within the Province of Ontario.

The School Counselor shall commence duties no later than September 1, 2025, at the TDSB Student Services Centre, 70 Bloor Street East, Toronto, Ontario, Canada. All deliverables, including the initial student needs assessment report, shall be submitted to the Director of Student Services within fourteen (14) calendar days of the commencement date. The School Counselor shall report to the designated school site within the Canada Toronto district as assigned by the Buyer on a weekly rotation schedule.

Payment shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor's designated bank account in Toronto, Ontario. Invoices shall be submitted on a monthly basis by the 5th business day of the following month. The Buyer shall remit payment within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed under the Interest Act (R.S.C. 1985, c. I-7) as applicable in Canada Toronto. All payments are subject to the Buyer's right of set-off and audit in accordance with the TDSB Financial Management Policy.

  1. Compliance with Ontario and Federal Law: The School Counselor shall adhere to all federal and provincial legislation applicable in Canada Toronto, including but not limited to the Canadian Human Rights Act, the Ontario Human Rights Code, the Personal Information Protection and Electronic Documents Act (PIPEDA), and the Municipal Freedom of Information and Protection of Privacy Act (MFIPPA).
  2. Confidentiality: All student records, counselling notes, and personally identifiable information shall be maintained in strict confidence. The School Counselor shall sign a Non-Disclosure Agreement (NDA) prior to the commencement of services. Data storage shall occur exclusively on servers located within the Province of Ontario, Canada.
  3. Professional Standards: The School Counselor shall maintain active registration with the relevant Ontario professional college and shall comply with the Code of Ethics and Professional Conduct as established by that body. Any disciplinary action or suspension of registration shall be reported to the Buyer within forty-eight (48) hours.
  4. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately for cause, including but not limited to breach of confidentiality, unprofessional conduct, or failure to meet the performance standards outlined in the Service Level Agreement (SLA) attached as Schedule A.
  5. Indemnification: The vendor shall indemnify and hold harmless the Toronto District School Board, its trustees, officers, and employees from any and all claims, damages, or liabilities arising from the negligent acts or omissions of the School Counselor or its sub-contractors while performing services under this Purchase Order in Canada Toronto.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (S.O. 1991, c. 17).
  7. Accessibility: The School Counselor shall ensure that all counselling services are accessible to students with disabilities in compliance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and the Integrated Accessibility Standards Regulation (IASR).
  8. Background Checks: Prior to commencing duties, the School Counselor shall provide a clear Vulnerable Sector Check (VSC) through the Royal Canadian Mounted Police (RCMP) and a Criminal Records Check as required by the TDSB for all personnel working with minors in Canada Toronto.
NOTE: This Purchase Order is issued in accordance with the TDSB Procurement Policy (Policy 710) and the Ontario Competitive Bidding Act, 1993. The procurement of this School Counselor position was conducted through a competitive tender process. All pricing is in Canadian Dollars (CAD) and is inclusive of all applicable Ontario municipal and provincial taxes.
