This Purchase Order is issued by Guangzhou International Education Services Co., Ltd. The School Counselor shall provide comprehensive student support services, including academic guidance, psychological well-being assessments, career planning consultations, and conflict mediation for students aged 12 through 18. The engagement of this School Counselor is in full compliance with the Ministry of Education of the People's Republic of China regulations governing student welfare and counseling services in secondary educational institutions within the Guangzhou municipal jurisdiction.

- Scope of Engagement: The School Counselor engaged under this Purchase Order shall operate exclusively within the premises of the Guangzhou Foreign Language Experimental Middle School in China Guangzhou and shall adhere to all protocols established by the Guangzhou Municipal Education Bureau and the Ministry of Education of the People's Republic of China.
- Qualification Requirements: The School Counselor must hold a valid Master's degree in Counseling Psychology or a related field, possess a current Chinese national counselor certification (国家心理咨询师), and demonstrate a minimum of five (5) years of experience in secondary school counseling environments. Fluency in Mandarin Chinese (HSK Level 6 or equivalent) is mandatory for this School Counselor role in China Guangzhou.
- Payment Schedule: Payment for this Purchase Order shall be disbursed in four (4) equal quarterly installments of CNY 64,713.00 each, due within thirty (30) calendar days following the end of each fiscal quarter. The first installment is due upon successful onboarding and commencement of the School Counselor's duties in China Guangzhou.
- Performance Standards: The School Counselor shall conduct a minimum of twenty (20) individual student counseling sessions per week, four (4) group workshops per month, and shall submit monthly progress reports to the Buyer's academic affairs office. Failure to meet these benchmarks for two consecutive months shall constitute a material breach of this Purchase Order.
- Confidentiality and Data Protection: All student records, psychological assessments, and personal information handled by the School Counselor in China Guangzhou shall be protected in accordance with the Personal Information Protection Law of the People's Republic of China (PIPL) and the Data Security Law. No student data shall be transferred outside the People's Republic of China without explicit written consent from the Buyer and the student's legal guardian.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall compensate the Supplier for all services rendered by the School Counselor up to the effective date of termination, prorated on a monthly basis.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order related to the School Counselor engagement in China Guangzhou shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in China Guangzhou, or public health emergencies as declared by the relevant Chinese authorities.
