1. Commencement and Duration: The services under this Purchase Order shall commence on 1 September 2025 and conclude on 31 June 2026, covering one full academic year at the China Shanghai campus of SIBA. The School Counselor is expected to be present on-site a minimum of five (5) days per week, Monday through Friday, between the hours of 08:00 and 17:00 China Standard Time (CST).
2. Payment Schedule: Payment shall be made in ten (10) equal monthly installments of 28,938.00 CNY (inclusive of VAT), due on the last business day of each calendar month. Payment shall be processed via bank transfer to the account designated by the School Counselor. Late payments shall accrue interest at 0.05% per day as stipulated under the Civil Code of the People's Republic of China.
3. Professional Standards: The School Counselor shall maintain all professional licenses, certifications, and continuing education requirements mandated by the Shanghai Municipal Education Commission and the China Shanghai Regional Board of Certified School Counselors. Failure to maintain valid credentials shall constitute grounds for immediate termination of this Purchase Order.
4. Confidentiality and Data Protection: All student records, counseling notes, and personal information handled by the School Counselor shall be treated as strictly confidential in accordance with the Personal Information Protection Law of the People's Republic of China and the specific data handling regulations of the China Shanghai education sector. No student information shall be disclosed to third parties without written parental consent, except where required by law.
5. Intellectual Property: All curricula, workshop materials, and program designs developed by the School Counselor specifically for SIBA under this Purchase Order shall become the property of Shanghai International Bilingual Academy upon full payment.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause (including but not limited to professional misconduct, breach of confidentiality, or failure to meet service standards), the terminating party shall provide a detailed written explanation and the matter shall be subject to review by the China Shanghai Education Arbitration Committee.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in China Shanghai, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
