This Purchase Order is issued by the Al-Rafidain Educational Directorate to procure the professional services of a qualified School Counselor to be deployed at Al-Rafidain Preparatory School located in the Al-Mansour District of Iraq Baghdad. The School Counselor shall provide comprehensive student support services in accordance with the Ministry of Education guidelines for the Republic of Iraq and the specific operational requirements of the institution in Iraq Baghdad.
The School Counselor engaged under this Purchase Order shall be responsible for the following duties and deliverables:
- Conducting individual and group counseling sessions for students aged 12–18, addressing academic, emotional, and social challenges prevalent in the Iraq Baghdad educational environment.
- Developing and implementing a structured School Counselor intervention program tailored to the cultural and social context of Iraq Baghdad, including conflict-sensitive pastoral care.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of School Counselor services in Iraq Baghdad. All terms herein shall be governed by and construed in accordance with the laws of the Republic of Iraq, with jurisdiction vested in the competent courts of Iraq Baghdad.
4.2 The Supplier (BECG) warrants that the School Counselor assigned under this Purchase Order shall hold a minimum of a Master's degree in School Counseling, Educational Psychology, or a closely related field, and shall possess valid professional licensure recognized by the Iraqi Ministry of Education. The School Counselor must demonstrate fluency in both Arabic and English to effectively serve the student body in Iraq Baghdad.
4.3 The Supplier shall ensure that the School Counselor complies with all local labor regulations, visa requirements, and professional conduct standards applicable in Iraq Baghdad. Any failure to maintain compliance shall result in immediate termination of this Purchase Order at the Supplier's expense.
4.4 Payment shall be processed via bank transfer to the Supplier's designated account in Iraq Baghdad. Invoices must be submitted by the 5th of each month for the preceding month's services. Late payments shall incur a penalty of 1.5% per month as stipulated under Iraqi commercial law.
4.5 The Buyer reserves the right to audit the School Counselor's records, session logs, and student outcome data at any reasonable time during the contract period. All student records generated in Iraq Baghdad shall remain the property of the Al-Rafidain Educational Directorate and shall be stored in accordance with Iraqi data protection statutes.
4.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure a minimum of two (2) weeks of transition support for the School Counselor's caseload in Iraq Baghdad to prevent disruption to student services.
4.7 The Supplier shall maintain professional liability insurance covering the School Counselor's activities in Iraq Baghdad with a minimum coverage of USD 500,000 per occurrence. Certificates of insurance shall be provided prior to the commencement of services.
4.8 Force majeure events, including but not limited to civil unrest, natural disasters, or government-mandated school closures in Iraq Baghdad, shall suspend obligations under this Purchase Order without penalty to either party for the duration of the event.
