- Delivery / Commencement: All School Counselor services shall commence no later than 1 September 2025, coinciding with the start of the Israeli academic year. The full-time School Counselor must be present at the assigned Tel Aviv school by the first day of instruction.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the supplier's account in Israel. Invoices are due within 30 days of receipt. All payments are denominated in Israeli New Shekels (ILS) and subject to the 18% Israeli Value Added Tax (VAT).
- Qualification Requirements: The School Counselor(s) engaged under this Purchase Order must hold a valid license issued by the Israeli Ministry of Education, a Master's degree in School Counseling or Clinical Psychology from an accredited Israeli university, and a minimum of three (3) years of experience in a K-12 school setting within Israel.
- Compliance: All services rendered by the School Counselor shall comply with the Israeli Education Law (5737-1977), the National Council for Mental Health regulations, and the data protection provisions of the Privacy Protection Law, 5741-1981, as applicable to student records in Tel Aviv schools.
- Confidentiality: The School Counselor shall maintain strict confidentiality of all student records, session notes, and personal information in accordance with Israeli law. No student data shall be disclosed to third parties without written parental consent or a court order issued in Israel.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the School Counselor shall provide a minimum of two weeks' transition support to ensure continuity of student care in the affected Tel Aviv school.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Tel Aviv, Israel, in accordance with the Israeli Arbitration Law. If mediation fails, the matter shall be submitted to the competent courts in Tel Aviv, Israel.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to government-mandated school closures in Israel, natural disasters, or public health emergencies declared by the State of Israel.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. All references to "Tel Aviv" in this document refer to the municipality of Tel Aviv-Yafo, Israel.
