5.1 Payment Terms: Payment shall be made in ten (10) equal monthly installments of EUR 7,832.40 (inclusive of IVA), due on the 5th business day of each month via bank transfer to the supplier's designated account in Italy. The first installment is due on 05 September 2025.
5.2 Service Location: All services under this Purchase Order shall be rendered at the school premises in Italy Rome, specifically at Via Appia Nuova, 142, 00175 Roma (RM). The School Counselor is required to be physically present on-site during the contracted hours, Monday through Friday, 08:00–16:00 CET.
5.3 Compliance with Italian Law: The School Counselor shall adhere to all applicable Italian data protection regulations (GDPR and D.Lgs. 196/2003 as amended), the professional code of ethics of the Ordine degli Psicologi, and the specific protocols of the Ufficio Scolastico Regionale per il Lazio. All student records shall be maintained in accordance with Italian privacy law and stored within the national territory.
5.4 Confidentiality: The School Counselor shall maintain strict professional confidentiality regarding all student, parent, and staff information. Disclosure is permitted only in cases of imminent risk to life or as mandated by Italian judicial authority.
5.5 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) calendar days. In the event of early termination, the Buyer shall be liable for services rendered up to the effective date of termination. Termination for cause (e.g., professional misconduct, failure to meet service standards) may be executed with immediate effect.
5.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent civil court of the Tribunale di Roma, Italy Rome, in accordance with Italian procedural law.
5.7 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or government-mandated school closures as may occur in Italy Rome.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a School Counselor in Italy Rome. This document constitutes a binding procurement agreement under Italian commercial law.
