Terms and Conditions- Scope of Engagement: The School Counselor engaged under this Purchase Order shall operate exclusively at the Lycée International de Cocody campus in Abidjan, Ivory Coast. The counselor must hold a valid professional license issued by the Ivorian Ministry of National Education and demonstrate proficiency in both French and English to serve the bilingual student body effectively.
- Payment Schedule: Payment shall be made in three installments: 40% upon contract execution and commencement of services, 35% at the midpoint of the academic term (January 2026), and the remaining 25% upon successful completion of all deliverables and submission of the final annual report. All payments shall be processed via bank transfer to the supplier's designated account in Abidjan, Ivory Coast.
- Performance Standards: The School Counselor is expected to maintain a caseload ratio not exceeding 1:150 students, conduct documented individual sessions no less than twice per month for each flagged student, and submit monthly activity reports to the school's administrative directorate. Failure to meet these standards for two consecutive months shall constitute grounds for contract termination with 30 days' written notice.
- Confidentiality and Data Protection: All student records, psychological assessments, and counseling notes shall be handled in strict accordance with the data protection laws of the Republic of Côte d'Ivoire. The School Counselor shall sign a separate Non-Disclosure Agreement (NDA) prior to commencing duties. No student information shall be disclosed to third parties without written parental consent, except in cases of imminent danger as prescribed by Ivorian law.
- Compliance with Local Regulations: The supplier and the assigned School Counselor shall comply with all labor laws, tax obligations, and professional ethical codes applicable in Abidjan, Ivory Coast. The supplier is responsible for all social security contributions (CNSS) and professional insurance for the counselor throughout the engagement period.
- Termination Clause: Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination by the buyer without cause, the supplier shall be compensated for services rendered up to the termination date plus a 10% administrative fee. In the event of termination due to supplier non-performance, no further compensation shall be owed.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Should negotiation fail within 30 days, the matter shall be submitted to the competent commercial court in Abidjan, Ivory Coast, in accordance with the Ivorian Code of Commerce.
- Force Majeure: Neither party shall be held liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-mandated school closures, or public health emergencies affecting the Abidjan region.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of School Counselor services in Abidjan, Ivory Coast.
