  1. All School Counselor personnel engaged under this Purchase Order must hold a valid Japanese School Counselor certification (学校心理士 or 公認心理師) and possess a minimum of three years of experience in a Japan Tokyo public school setting.
  2. The vendor shall ensure that every School Counselor assigned to a school in Japan Tokyo completes a mandatory orientation on the Tokyo Metropolitan Board of Education's Student Support Framework within the first ten (10) business days of assignment.
  3. Payment terms: Net 45 days from the date of invoice submission. Invoices shall be submitted monthly and must reference this Purchase Order number (TMB-SC-2025-0472) in all correspondence.
  4. The vendor is required to maintain a minimum staffing ratio of one (1) School Counselor per 250 students in each participating school across Japan Tokyo. Any vacancy exceeding fifteen (15) business days shall trigger a penalty clause of 2% of the monthly contract value per day of non-compliance.
  5. All School Counselor services shall be delivered in accordance with the Personal Information Protection Act (PIPA) of Japan. Student records, counseling notes, and any sensitive data generated in Japan Tokyo schools shall be stored on servers physically located within Japan and shall not be transferred to third parties without written authorization from the Tokyo Metropolitan Board of Education.
  6. This Purchase Order is subject to annual review. The Tokyo Metropolitan Board of Education reserves the right to modify the scope of School Counselor services, adjust the number of placements, or terminate this Purchase Order with sixty (60) days' written notice if performance metrics fall below the agreed-upon standards.
  7. Disputes arising from this Purchase Order shall be resolved through mediation in Japan Tokyo in accordance with the laws of Japan. The competent court shall be the Tokyo District Court.
  8. The vendor shall provide a comprehensive quarterly report detailing the activities, caseloads, and outcomes of each School Counselor deployed in Japan Tokyo schools. Reports shall be submitted to the Student Support Division no later than the last business day of the month following the reporting quarter.

All School Counselor placements under this Purchase Order shall be fully operational by 1 April 2025, coinciding with the start of the Japanese academic year. The vendor shall submit a detailed deployment schedule, including the names, qualifications, and assigned schools of each School Counselor, no later than 15 March 2025. The deployment shall cover all 23 special wards of Japan Tokyo as specified in the line items above. Ongoing performance evaluations of each School Counselor shall be conducted bi-annually by the Tokyo Metropolitan Board of Education in coordination with the vendor's project coordinator.
