The engagement of this School Counselor is intended to support the holistic development of students in the Malaysia Kuala Lumpur metropolitan area, addressing issues ranging from academic performance anxiety, social-emotional well-being, family conflict mediation, and career pathway planning.

4. PAYMENT TERMS AND CONDITIONS

• Payment Schedule: The total Purchase Order amount of RM 131,112.00 shall be disbursed in quarterly installments of RM 32,778.00, payable within thirty (30) calendar days from the date of invoice submission by EduCounsel Professional Services Sdn. Bhd.
• Payment Method: All payments shall be made via bank transfer to the Seller's designated account: Maybank Berhad, Account No. 5123-4567-8901, Branch: Menara KLCC, Kuala Lumpur, Malaysia.
• Invoice Requirements: Each invoice must reference this Purchase Order number (PO-KL-2025-SC-0472) and include a detailed breakdown of School Counselor services rendered during the billing period.
• Withholding Rights: The Buyer reserves the right to withhold up to 10% of any installment if the School Counselor fails to meet the minimum service delivery thresholds as outlined in Section 2 of this Purchase Order.
• Currency: All financial transactions under this Purchase Order shall be conducted in Malaysian Ringgit (MYR/RM) in accordance with the Foreign Exchange Policy of Bank Negara Malaysia.

5. QUALIFICATIONS AND COMPLIANCE REQUIREMENTS

The School Counselor engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Psychology, Counseling, or a related field from a recognized Malaysian university, and must be registered with the Malaysian Board of Psychology (MBoP). The School Counselor must possess a valid Practicing Certificate issued under the Psychology Act 2002 (Act 630) and must demonstrate a minimum of three (3) years of experience in school-based counseling within the Malaysia Kuala Lumpur education sector. The School Counselor shall comply with all data protection requirements under the Personal Data Protection Act 2010 (PDPA) when handling student records and confidential counseling information. All services must be delivered in accordance with the Malaysian National Education Philosophy (Falsafah Pendidikan Kebangsaan) and the standards prescribed by the Malaysian Qualifications Agency (MQA).

6. TERM, RENEWAL, AND TERMINATION

This Purchase Order shall be effective from 1 July 2025 and shall remain in force for a period of twelve (12) months, concluding on 30 June 2026. Either party may terminate this Purchase Order with a written notice of sixty (60) days. The Buyer may terminate this Purchase Order immediately in the event of material breach, including but not limited to the School Counselor's failure to maintain professional registration, gross negligence in student care, or violation of the PDPA. Upon termination, all outstanding services rendered up to the termination date shall be invoiced and settled within fourteen (14) days.

7. GOVERNING LAW AND DISPUTE RESOLUTION

This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through mediation under the Mediation Centre for Commercial Disputes (MCCD) in Kuala Lumpur. Should mediation fail, disputes shall be referred to arbitration in accordance with the Arbitration Act 2005 of Malaysia, with the seat of arbitration in Kuala Lumpur, Malaysia. The language of arbitration shall be English.
