• An initial advance payment of 30% of the total Purchase Order value (844,920 RUB) shall be due within fifteen (15) business days of the execution of this Purchase Order.
• Remaining payments shall be disbursed in quarterly installments of 22.5% each, due within twenty (20) business days following the submission and acceptance of the corresponding quarterly performance report.
• All payments are subject to verification of service delivery and compliance with the terms outlined in this Purchase Order.
• Late payments shall incur a penalty of 0.1% per calendar day of delay, in accordance with Article 317.1 of the Civil Code of the Russian Federation.

The individual engaged as the School Counselor under this Purchase Order must meet the following minimum qualifications as mandated by the Moscow City Education Authority:

• The Service Provider warrants that the School Counselor engaged under this Purchase Order shall maintain all necessary professional insurance, including liability coverage of no less than 5,000,000 RUB.
• Either party may terminate this Purchase Order with thirty (30) days written notice in the event of material breach by the other party, subject to applicable Russian contract law provisions.
