4.1 This Purchase Order constitutes a binding agreement between the Department of Education and Social Services of Russia Saint Petersburg (hereinafter "the Buyer") and PESS LLC (hereinafter "the Vendor") for the provision of School Counselor services as described herein.

4.2 The School Counselor engaged under this Purchase Order must hold a valid state-issued license for psychological counseling in the Russian Federation, a minimum of five (5) years of documented experience in educational settings, and current certification from the Russian Psychological Association. All credentials shall be verified prior to commencement of services in Russia Saint Petersburg.

4.3 Payment shall be made in monthly installments within thirty (30) calendar days of receipt of an approved invoice. All payments shall be processed in Russian Rubles (RUB) via bank transfer to the Vendor's designated account. Late payments shall incur a penalty of 0.1% per calendar day in accordance with Article 317.1 of the Civil Code of the Russian Federation.

4.4 The Vendor shall ensure that the School Counselor complies with all data protection requirements under Federal Law No. 152-FZ "On Personal Data," particularly regarding the confidentiality of student records maintained in Russia Saint Petersburg educational institutions.

4.5 Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Vendor shall be compensated for all School Counselor services rendered up to the effective date of termination.

4.6 All disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of St. Petersburg, Russia Saint Petersburg, in accordance with the applicable procedural rules of the Russian Federation.

The School Counselor services shall commence on 1 September 2025 at the designated municipal school campuses in Russia Saint Petersburg. The Vendor shall ensure that the School Counselor is present and operational no later than 08:00 local time on the first day of the academic year. A detailed service schedule, including assigned schools, session times, and reporting cadence, shall be submitted to the Buyer no later than 20 August 2025.

This Purchase Order is authorized and approved by the undersigned representatives of the Department of Education and Social Services, City of Russia Saint Petersburg.
