- This Purchase Order constitutes a binding agreement between Al-Nour International Academy (hereinafter "the Academy") and the designated School Counselor for the provision of professional counseling services within the premises of the Academy located in Jeddah, Saudi Arabia.
- The School Counselor shall hold a valid professional license issued by the Saudi Ministry of Education and shall maintain all required certifications throughout the contract period. Any lapse in licensure shall result in immediate suspension of services and potential termination of this Purchase Order.
- All services rendered under this Purchase Order shall comply with the labor laws of the Kingdom of Saudi Arabia, the regulations of the Saudi Ministry of Human Resources and Social Development, and the specific educational directives applicable to schools in Jeddah, Saudi Arabia.
- The School Counselor shall adhere to the Academy's code of conduct, dress code, and cultural protocols as established for educational institutions in Saudi Arabia. All counseling sessions shall respect the cultural and religious values of the Saudi community in Jeddah.
- Payment shall be processed via bank transfer to the School Counselor's designated Saudi bank account. Invoices must be submitted by the 5th of each month for the preceding month's services. Late payments beyond 15 business days shall incur a penalty of 1% per week as per Saudi commercial law.
- The School Counselor is engaged as an independent service provider under this Purchase Order and is not considered an employee of the Academy unless otherwise stipulated in a separate employment contract. Social insurance (GOSI) contributions shall be handled as per Saudi labor regulations applicable to contracted professionals.
- Confidentiality: All student records, counseling notes, and personal data handled by the School Counselor shall be treated as strictly confidential in accordance with Saudi data protection regulations. Breach of confidentiality shall result in immediate termination of this Purchase Order and legal action.
- Either party may terminate this Purchase Order with a written notice of 30 days. In the event of termination, the Academy shall pay for all services rendered up to the effective date of termination.
- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from this agreement shall be resolved through the competent courts in Jeddah, Saudi Arabia, or through arbitration as prescribed by Saudi law.
- The School Counselor shall maintain professional liability insurance with a minimum coverage of SAR 500,000 for the duration of this Purchase Order, valid within the Kingdom of Saudi Arabia.
- This Purchase Order is valid for one academic year only. Renewal for subsequent academic years shall require a new Purchase Order issued by the Academy's procurement department in Jeddah, Saudi Arabia.
