- Acceptance: This Purchase Order constitutes a binding offer. The Supplier must confirm acceptance in writing within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Commencement: The School Counselor must be fully deployed and operational at all designated Johannesburg school sites no later than 01 September 2025, coinciding with the start of the South African academic calendar.
- Compliance: The School Counselor shall comply with all applicable South African legislation, including the Children's Act (Act 38 of 2005), the Protection of Personal Information Act (POPIA, Act 4 of 2013), and the HPCSA Professional Board for Counselling Psychologists regulations.
- Confidentiality: All learner records, counselling notes, and psychometric data shall be treated as strictly confidential. The School Counselor shall not disclose any personal information without written consent from the learner's parent or guardian, except where mandated by South African law.

- Dispute Resolution: Any dispute arising from this Purchase Order shall first be referred to mediation in Johannesburg, South Africa, in accordance with the Arbitration Act (Act 27 of 1965). Should mediation fail, the matter shall be referred to the High Court of South Africa, Gauteng Division, Johannesburg.
- Anti-Corruption: The Supplier warrants that no bribe, kickback, or improper inducement has been offered or accepted in connection with this Purchase Order, in compliance with the Prevention and Combating of Corrupt Activities Act (Act 12 of 2004).
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or pandemics affecting the South Africa Johannesburg region.
