  1. Delivery and Commencement: The School Counselor shall report for duty no later than July 1, 2025, at the designated school campus in Seocho-gu, Seoul, South Korea. Failure to commence within five (5) business days of the start date shall constitute a material breach of this Purchase Order.
  2. Payment Terms: Payment shall be made in monthly installments of KRW 1,483,333 (one-fourteenth of the grand total) via bank transfer to the account designated by Seoul Educational Counseling Institute Co., Ltd. The first payment is due within fifteen (15) calendar days of the School Counselor's confirmed start date. All payments are subject to the standard Korean government procurement audit procedures.
  3. Compliance with Korean Law: The School Counselor and the Supplier shall comply with all applicable laws of the Republic of Korea, including the Act on the Protection of Children and Adolescents, the Personal Information Protection Act, and the Seoul Metropolitan Education Board's regulations governing student counseling services in South Korea Seoul.
  4. Confidentiality: All student records, counseling session notes, and personal data handled by the School Counselor shall be maintained in strict confidentiality in accordance with Korean data protection statutes. No information shall be disclosed to third parties without written parental or student consent, except in cases of imminent danger as defined by Korean law.
  5. Performance Standards: The School Counselor shall conduct a minimum of 200 individual counseling sessions per academic year, 40 group counseling sessions, and 4 parent workshops. Performance shall be evaluated quarterly by the Seoul Metropolitan Office of Education's Student Welfare Division.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In cases of gross misconduct, license revocation, or failure to meet performance standards, the Buyer may terminate immediately without penalty.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the Seoul International Arbitration Center, and if unresolved, through the competent courts of Seoul, South Korea.
  8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated school closures, or public health emergencies as declared by the Korean government for the Seoul metropolitan area.

This Purchase Order is authorized and approved by the undersigned officials of the Seoul Metropolitan Office of Education. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this document for the procurement of the School Counselor service in South Korea Seoul.
