- Scope of Engagement: The School Counselor engaged under this Purchase Order shall operate exclusively within the premises of Institut Escola Barcelona, located in the Eixample district of Barcelona, Spain. All services shall be delivered in accordance with the professional standards set by the Colàlegi Oficial de Psicologia de Catalunya.
- Qualification Requirements: The School Counselor must hold a recognized degree in Psychology or Educational Counseling from a Spanish or EU-accredited institution, along with a valid professional registration with the relevant Catalan regulatory body. A minimum of five years of experience in a secondary education setting in Spain Barcelona or equivalent European context is required.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within thirty (30) calendar days of invoice receipt via direct bank transfer to the account designated by Barcelona Counseling & Educational Support S.L. All amounts are denominated in Euros (EUR) and subject to applicable Spanish VAT (IVA) at the current rate of 21%.
- Confidentiality: The School Counselor shall adhere strictly to the data protection provisions of the Spanish Organic Law 3/2018 (LOPDGDD) and the EU General Data Protection Regulation (GDPR). All student records, session notes, and personal information shall be stored securely and shall not be disclosed to any third party without written parental or guardian consent, except where mandated by Spanish law.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the School Counselor shall complete all ongoing student sessions and deliver a comprehensive handover report to the purchasing institution within fourteen (14) days of the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Barcelona, Spain, in accordance with the provisions of the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil). If mediation fails, the competent courts of Barcelona shall have exclusive jurisdiction.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in Spain Barcelona, or public health emergencies as declared by the Spanish government or the Generalitat de Catalunya.
- Insurance: The School Counselor and the service provider shall maintain professional liability insurance with a minimum coverage of €1,000,000 per claim, valid throughout the duration of this Purchase Order and compliant with Spanish insurance regulations.
