- Delivery and Commencement: The School Counselor shall commence duties no later than 1 September 2025 at the primary assigned institution in the Beşiktaş district of Turkey Istanbul. A secondary assignment in Üsküdar district shall be effective from 1 January 2026.
- Payment Terms: Payment shall be made in ten (10) equal monthly installments of TRY 73,344.00 via bank transfer to the account designated by BEC Ltd. Invoices must be submitted by the 5th of each month. Late payments shall incur a penalty of 1.5% per month as stipulated under Turkish commercial law.
- Qualification Requirements: The School Counselor must hold a minimum Master's degree in Counseling Psychology or a related field from an accredited Turkish university, possess a valid license from the Turkish Psychological Association (TÜDP), and have a minimum of five (5) years of documented experience in K-12 school settings within Turkey Istanbul or equivalent metropolitan areas.
- Performance Metrics: Quarterly performance reviews shall be conducted by the Istanbul Metropolitan Education Directorate. Key performance indicators include: minimum 200 individual counseling sessions per term, 95% student satisfaction rate, zero unreported critical incidents, and completion of all mandated reporting obligations under Turkish child protection law.

- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. - Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC). The governing law shall be the Republic of Turkey's Civil Code and Commercial Code.
- Insurance: BEC Ltd. shall maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the duration of the School Counselor's engagement in Turkey Istanbul. A certificate of insurance shall be provided prior to commencement.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in Turkey Istanbul, or public health emergencies declared by the Turkish Ministry of Health.
